Welcome to FlipNotes. These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (the "User", "you", or "your") and FlipNotes ("FlipNotes", "we", "us", or "our") governing your access to and use of the FlipNotes platform, website, services, content marketplace, ambassador program, and any related features.

By accessing, registering for, or using FlipNotes, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease all use of the platform.

1. About FlipNotes & Nature of Service

FlipNotes operates as a digital peer-to-peer educational marketplace and content-sharing platform where users can upload, share, purchase, and sell educational materials, including but not limited to academic notes, study guides, and summaries. FlipNotes is strictly an intermediary platform. We do not create, endorse, or guarantee the accuracy, academic validity, or legality of any user-generated content. We reserve absolute rights to manage, moderate, verify, approve, reject, suspend, or remove any content, account, or activity at our sole discretion, without prior notice.

2. Eligibility & Capacity

To access or use FlipNotes, you must:

• 2.1. Be at least 13 years of age.
• 2.2. If you are under the age of majority in your jurisdiction (typically 18 years old), you must have the explicit permission of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
• 2.3. Provide true, accurate, current, and complete information during registration.
• 2.4. Not be legally barred from receiving services under the laws of India or other applicable jurisdictions.

3. Account Security & Responsibilities

• 3.1. Users are entirely responsible for maintaining the confidentiality and security of their login credentials.
• 3.2. You are solely responsible for all activities that occur under your account. You must notify FlipNotes immediately of any unauthorized use or suspected breach of security.
• 3.3. FlipNotes reserves the right to suspend or terminate accounts involved in suspicious, fraudulent, or unauthorized activities, including but not limited to account sharing, automated scraping, or misuse of the platform.

4. Content Uploads & Marketplace Policy

4.1. Originality & Ownership

Users may upload educational content (e.g., handwritten notes, PDFs, study material). By uploading content, you warrant and represent that:

• You are the sole creator and legal owner of the content, or you have obtained all necessary explicit licenses and permissions to distribute it.
• The content does not infringe upon the intellectual property rights, copyrights, trademarks, or privacy rights of any third party (including universities, professors, textbook publishers, or other students).

4.2. Prohibited Content

You strictly agree NOT to upload:

• Copyrighted textbooks, test banks, or paid course materials without authorization.
• Exam leaks, confidential academic material, or answers to active graded assignments.
• Plagiarized, stolen, or illegally obtained content.
• Sexually explicit, defamatory, abusive, harassing, hateful, or discriminatory material.
• AI-generated content falsely presented as human-authored or verified.
• Malware, viruses, or any harmful code.

4.3. Content Verification & Moderation

FlipNotes employs both manual and automated (AI-based) review processes. We reserve the absolute right to:

• Approve, reject, or delete submissions at any time for any reason.
• Modify titles, descriptions, and categories for SEO and platform clarity.
• Utilize AI fraud detection to flag duplicated or suspicious uploads.

Verification by FlipNotes does not constitute an endorsement or a guarantee of non-infringement.

5. Revenue Sharing, Payouts, & Taxes

• 5.1. Revenue Split: When content is sold, FlipNotes retains a platform fee (as specified in the admin settings, e.g., 20%), and the creator receives the remaining share. This structure is subject to change at our sole discretion.
• 5.2. Payout Thresholds: Payouts can only be requested once the minimum withdrawal threshold is met.
• 5.3. Fraud & Chargebacks: FlipNotes reserves the right to freeze earnings, reverse transactions, and delay payouts indefinitely if fraud, chargebacks, copyright infringement, or policy violations are suspected.
• 5.4. Taxes: Users are solely responsible for declaring and paying any applicable local, state, or federal taxes on their earnings. FlipNotes is not an employer and does not withhold taxes on your behalf.

6. Intellectual Property Rights & Licensing

• 6.1. User Content License: You retain ownership of your original content. However, by uploading, you grant FlipNotes a perpetual, non-exclusive, worldwide, royalty-free, sub-licensable license to host, display, store, promote, distribute, modify previews, and market your content across the platform and external marketing channels.
• 6.2. Platform IP: All FlipNotes logos, designs, software, architecture, and proprietary features remain the exclusive intellectual property of FlipNotes. Unauthorized copying, reverse engineering, or scraping is strictly prohibited.

7. Copyright Infringement & Takedown Policy (DMCA / Equivalent)

FlipNotes respects intellectual property rights. If you believe your copyrighted work has been infringed:

• 7.1. Submit a formal takedown notice to support@flipnotes.in including: a physical or electronic signature, identification of the copyrighted work, URL of the infringing material, and a statement under penalty of perjury that the claim is accurate.
• 7.2. FlipNotes will promptly investigate and remove infringing content. Repeat infringers will be permanently banned.

8. College Ambassador & Employee Programs

• 8.1. Ambassadors and hired personnel operate as independent contractors, not legal employees, unless expressly contracted otherwise in writing.
• 8.2. FlipNotes reserves the right to modify commission rates, revoke privileges, or terminate ambassador/employee status at any time, with or without cause, especially in cases of brand misrepresentation or fraudulent referrals.

9. Disclaimer of Warranties

The platform and all content are provided on an "AS IS" and "AS AVAILABLE" basis. FlipNotes expressly disclaims all warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, academic success, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free from viruses.

10. Limitation of Liability & Indemnification

• 10.1. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPNOTES AND ITS FOUNDERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO ACADEMIC LOSSES, LOSS OF PROFITS, DATA LOSS, REPUTATIONAL HARM, OR THIRD-PARTY DISPUTES ARISING OUT OF YOUR USE OF THE PLATFORM.
• 10.2. Indemnification: You agree to indemnify, defend, and hold harmless FlipNotes against any claims, damages, liabilities, costs, and legal fees arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights (including copyright claims against your uploaded notes).

11. Refunds & Cancellations

Due to the immediate access nature of digital downloads, all sales are final. Refunds are strictly not provided unless there is a verifiable technical failure rendering the file completely inaccessible, determined at FlipNotes' sole discretion.

12. Privacy Policy & Data Usage

By using the platform, you consent to the collection, storage, and processing of your personal data, metadata, IP logs, and activity records for platform security, fraud detection, and analytics. We reserve the right to share data with law enforcement if illegal activity is suspected.

13. Service Modifications & Termination

• 13.1. We reserve the right to modify, suspend, or terminate the platform, or your access to it, at any time without notice or liability.
• 13.2. We may implement "Maintenance Mode" resulting in temporary service outages.
• 13.3. FlipNotes reserves the right to update these Terms at any time. Continued use of the platform constitutes binding acceptance of the modified Terms.

14. Governing Law & Dispute Resolution

• 14.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
• 14.2. Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved exclusively through binding arbitration or in the competent courts of India.
